Code of Business Conduct

St. Jude Medical's Code of Business Conduct is about treating people honestly, fairly and with respect. Whether dealing with fellow employees, customers, patients, vendors, shareholders, securities analysts, the media, or regulators, St. Jude Medical is committed to honest and fair practices and respectful dealings.

The Code of Business Conduct applies globally to all of St. Jude Medical's units and subsidiaries. In addition to conducting its business with integrity, St. Jude Medical is committed to complying with the laws around the world that apply to our business.

All St. Jude Medical employees are expected to be familiar and comply with the Code of Business Conduct.

Code of Business Conduct Updates

The Board of Directors adopted the following changes to the Code that have not yet been incorporated into the printed versions:

• Adopting the AdvaMed Code of Ethics regarding interactions with the Company's U.S. customers, health care professionals
• Explicitly applying the Code to the CEO, CFO, and corporate controller
• Prohibiting loans to executive officers and members of the Board of Directors
• Prohibiting officers, directors, or employees from making false or misleading statements to our internal auditors or independent auditors or improperly influencing any audit of the Company
• Requiring Board of Directors to approve any waiver to the Code
• Providing a mechanism for reporting possible violations of the Code
