Director Nomination Process

Any shareholder wishing to propose that a person be appointed to the Board of Directors or that management nominate a person for election to the Board of Directors may submit a proposal to:

The Governance and Nominating Committee considers suggestions from many sources—including shareholders—for possible director candidates. The Governance and Nominating Committee considers any candidate proposed by a shareholder in the same manner as other possible candidates. The Board of Directors has not adopted any specific criteria for a director position.
